1. Acceptance of Terms

By creating an account, accessing, or using the bulk messaging platforms, APIs, or products offered by ReachMax SMS ("we," "our," or "us"), you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Description of Services

ReachMax SMS provides business communication services, including but not limited to Bulk SMS, Transactional & Promotional SMS, WhatsApp Business API integration, RCS Messaging, OTP Services, and Voice Call services. We reserve the right to upgrade, modify, or temporarily suspend services for maintenance with prior notice.

3. Acceptable Use Policy & Anti-Spam

You agree to use our services in full compliance with all local and international laws. We maintain a strict zero-tolerance policy against Spam:

• You must send promotional messages only to recipients who have explicitly opted-in to receive them.
• You may not use our services to transmit unsolicited commercial communication (UCC) or messages containing fraudulent, deceptive, defamatory, threatening, adult, or illegal content.
• You are prohibited from sending messages that impersonate bank institutions, government officials, or other brands without valid authorization.

4. DLT Registration & TRAI Compliance (India)

For sending messages to mobile numbers within India, you must comply with the Telecom Regulatory Authority of India (TRAI) guidelines:

• You must register your entity, headers (sender IDs), and content/consent templates on a registered Distributed Ledger Technology (DLT) platform before sending messages.
• We are not responsible for message delivery failures, delays, or blocks resulting from rejected DLT templates, suspended headers, or incorrect configurations.
• You agree to follow the National Customer Preference Register (NCPR) registry rules to avoid sending promotional messages to users registered under the DND (Do Not Disturb) list.

5. Account Security & Usage Limits

You are solely responsible for protecting your account credentials, login passwords, and API keys. Any requests or transmissions received through your credentials will be deemed authorized by you. In the event of an API key leak or unauthorized account usage, you must notify us immediately to regenerate the keys.

6. Payment & Billing Terms

Our services operate primarily on a prepaid model:

• You must purchase credits or top-ups in advance to utilize message delivery gateways.
• Pricing lists, rates per SMS, and API charges are subject to change according to telecom operator tariff revisions. We will make reasonable efforts to communicate price updates.
• All purchases are final and are billed with applicable taxes (GST in India). Credits carry validity terms which will be detailed during purchase.

7. Limitation of Liability

We utilize tier-1 telecom operator gateways and multiple route backups to deliver messages. However, message delivery depends on recipient mobile network coverage, device connectivity, and carrier infrastructure. Consequently, we do not guarantee 100% message receipt and shall not be liable for direct or indirect losses arising from delayed or undelivered messages.

8. Termination & Account Suspension

We reserve the right to suspend or terminate your account immediately, without any warning or liability, if we detect spam activity, fraud, phishing campaigns, regulatory compliance violations, or breach of these Terms. Unused balances in suspended accounts due to spam violations are non-refundable.
